BidSieve Service Terms Addendum

1. Relationship to Three Core AI Terms

This Addendum supplements and incorporates the Three Core AI Terms of Service. In the event of a conflict, this Addendum governs your use of BidSieve and its related features.

2. Description of BidSieve

BidSieve is an AI-powered government contract intelligence platform that enables users to discover, track, and manage government contracting opportunities. The Service aggregates data from public sources (including SAM.gov and state procurement portals), applies AI-driven matching and summarization, and delivers curated alerts and digest notifications.

Important: BidSieve is not endorsed by, affiliated with, or supported by SAM.gov, any U.S. federal agency, or any state government entity. We are an independent third-party service provider.

BidSieve does not submit bids or interact directly with federal or state procurement systems on your behalf. All actions on official procurement systems remain solely your responsibility.

All platform components, UI elements, matching algorithms, scoring logic, email templates, workflows, branding, and proprietary code remain the intellectual property of Three Core AI. No rights or licenses are granted other than the limited right to use the Service as described in this Addendum.

3. Account and Usage

You must have an active Three Core AI account to use BidSieve. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

You agree not to:

• Share, resell, sublicense, or otherwise provide your account to any third party without written permission. Login sharing is strictly prohibited — each user must have their own account.
• Attempt to bypass usage limits or artificially inflate, mask, or proxy traffic to obscure true usage.
• Engage in high-volume automated requests, DDoS-like behavior, load generation, stress testing, or other activities intended to disrupt the Service.
• Copy, reproduce, scrape, index, reverse engineer, or create derivative works based on BidSieve's code, UI, algorithms, or proprietary logic, except where permitted by law.
• Use automated tools, bots, or scripts to scrape, crawl, or extract data from the BidSieve interface or underlying systems.
• Use BidSieve to send spam, unauthorized bulk messages, or communications without proper consent.
• Misrepresent your identity, company, or capabilities when using opportunity data.

We may monitor usage for abuse, fraud, security risks, or violations. If detected, we may limit or suspend access to protect system integrity. If account misuse is detected, Three Core AI may throttle, suspend, or terminate access without refund.

We may enforce query limits, frequency limits, and access restrictions to protect system stability, especially as we expand to additional state-level procurement feeds. Heavy or unusual usage patterns may be subject to throttling or temporary suspension.

Use of the Service must comply with our Acceptable Use Policy.

4. Data Sources, Accuracy, and No Guarantees

BidSieve aggregates data from third-party government sources. You acknowledge and agree that:

• We do not guarantee the accuracy, completeness, timeliness, or availability of any opportunity data.
• Government data may contain errors, omissions, or become outdated without notice.
• Deadlines, requirements, and opportunity details may change on source platforms without our knowledge.
• We are not responsible for missed opportunities, incorrect data, or any business decisions made based on the Service.
• Data refresh rates vary based on source platform availability and may change without notice. We do not guarantee real-time data synchronization.
• BidSieve may rely on caching, which can cause delays in updated opportunity information.
• We are not responsible for federal or state API outages, schema changes, or data delays originating from government systems.
• You must always verify opportunity details on the official source (e.g., SAM.gov) before taking any action.
• Users must comply with all applicable procurement integrity rules when using opportunity data.
• The Service is provided for informational purposes only and does not constitute legal, business, or procurement advice.

BidSieve does not guarantee the completeness of opportunity coverage across federal or state platforms. Coverage may vary based on data source availability, integration status, and platform changes.

THREE CORE AI MAKES NO WARRANTIES REGARDING THE QUALITY, RELIABILITY, OR ACCURACY OF GOVERNMENT CONTRACT DATA DISPLAYED IN THE SERVICE.

5. AI and Automation Features

BidSieve integrates with AI systems (including OpenAI) for opportunity matching, summarization, and scoring. You acknowledge and agree that:

• AI-generated content (summaries, scores, recommendations) may be inaccurate, incomplete, or misleading.
• AI outputs are provided for convenience only and should not replace reading full solicitation documents.
• Match scores are algorithmic estimates and do not guarantee suitability or success. AI scoring does not constitute a determination of bid/no-bid suitability.
• Users may not rely solely on AI-generated scoring to determine eligibility or compliance.
• You are solely responsible for verifying and validating any AI-generated content before use.
• You retain sole responsibility for compliance with procurement-integrity rules, conflict-of-interest restrictions, and ethics guidelines.
• We do not guarantee the availability, accuracy, or consistency of AI features.

THREE CORE AI DISCLAIMS ALL LIABILITY FOR DECISIONS MADE BASED ON AI-GENERATED CONTENT.

6. Billing and Subscription

BidSieve offers subscription-based access to premium features:

• Subscriptions are billed monthly or annually as selected at checkout.
• Subscriptions renew automatically unless cancelled through your dashboard prior to the renewal date.
• Cancellations apply to future billing cycles only.
• We do not provide partial refunds, credit adjustments, or proration for mid-cycle cancellations, plan downgrades, or unused features.
• Plan upgrades or downgrades take effect at the next billing cycle.
• Certain premium features (state add-ons, historical datasets, or expanded data sources) may be billed separately.
• Promotional discounts are one-time offers and are non-stackable unless explicitly stated.
• All fees are non-refundable except where required by applicable law.

We reserve the right to modify pricing with 30 days notice to existing subscribers.

7. Email Notifications and Communications

By using BidSieve, you consent to receive:

• Transactional emails (OTP codes, account notifications)
• Opportunity alerts for high-match contracts
• Daily and/or weekly digest emails
• Service announcements and updates

You may manage notification preferences in your account settings. Core transactional emails cannot be disabled.

We do not guarantee delivery of email alerts due to spam filtering, provider limits, or government firewalls. You are responsible for ensuring your email provider accepts messages from our domain.

8. Data Handling and Privacy

You retain ownership of your profile data and pipeline information. By using BidSieve, you grant Three Core AI permission to process and store such data solely to operate the Service. We do not sell or share personal data with third parties except as required to deliver the Service.

Pipeline notes, opportunity annotations, and any internal tracking information you add are private to your account and are processed only to provide the Service. This information is not shared with other users or third parties.

BidSieve may generate temporary vector embeddings or AI feature representations of documents solely to provide features such as summarization, scoring, or search. We may store anonymized match data for algorithm improvement.

9. Service Availability and Maintenance

We strive to maintain reliable and continuous operation of the BidSieve platform. However, you acknowledge that:

• The Service may occasionally be unavailable due to scheduled maintenance, upgrades, network failures, or unforeseen technical issues.
• Third-party data sources (SAM.gov, etc.) may experience outages or changes beyond our control.
• We do not guarantee uninterrupted or error-free operation.
• We shall not be liable for any temporary unavailability, data delays, or loss resulting from system outages.
• We may suspend or modify the Service at any time to improve performance, security, or reliability.
• We may apply automated rate limiting or throttling to ensure stable platform performance.
• We may adjust rate limits based on server load, state feed expansion, or abusive patterns.
• We may migrate, re-index, or restructure data without notice to improve the Service.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

10. Suspension and Termination

Three Core AI may suspend or terminate your BidSieve account for violations of this Addendum, the main Terms, or the Acceptable Use Policy. Upon termination:

• Your right to use the Service ceases immediately.
• Your stored data may be deleted after 30 days unless retention is required by law.
• No refunds will be provided for unused subscription periods.

Fraudulent use, including misrepresentation of business identity to obtain discounted rates or government access privileges, may result in immediate termination without notice.

11. Data Retention and Storage

Data retention periods vary by subscription status:

• Free/Trial Users: Opportunity data and pipeline information are retained for 90 days.
• Paid Subscribers: Data is retained for as long as your account remains active and in good standing.

If you cancel or your account is terminated, all stored data — including opportunities, pipeline status, and configurations — will be permanently deleted within 30 days. Encrypted backups may retain copies for up to 90 days as part of standard disaster recovery processes.

We recommend exporting your data prior to cancellation if you wish to retain it. Export functionality may not include AI-generated scores, metadata, or internal algorithmic structures.

THREE CORE AI IS NOT RESPONSIBLE FOR DATA LOSS RESULTING FROM AUTOMATIC DELETION POLICIES, ACCOUNT CANCELLATION, SYSTEM FAILURE, OR FAILURE TO EXPORT DATA.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
• WE ARE NOT LIABLE FOR LOST PROFITS, LOST CONTRACTS, MISSED OPPORTUNITIES, OR BUSINESS LOSSES.
• WE ARE NOT LIABLE FOR DECISIONS MADE BASED ON OPPORTUNITY DATA OR AI-GENERATED CONTENT.
• WE ARE NOT LIABLE FOR BID DISQUALIFICATION, NON-RESPONSIVENESS FINDINGS, OR COMPLIANCE ISSUES ARISING FROM USER ACTIONS.
• WE ARE NOT LIABLE FOR MISSED DEADLINES DUE TO DELAYED ALERTS, EMAIL FILTERING, TIME-ZONE ERRORS, OR GOVERNMENT PORTAL OUTAGES.
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.

13. Indemnification

You agree to indemnify and hold harmless Three Core AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including attorneys' fees) arising from your use of the Service, violation of these terms, infringement of any third-party rights, or claims related to procurement misrepresentation, unauthorized data use, or violation of government solicitation rules.

14. Governing Law

This Addendum is governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in California.

Nothing in this Agreement constitutes an endorsement by the U.S. Government or any state government entity.

15. Export Control and Prohibited Content

Users may not upload, store, or process any classified information, ITAR-controlled data, export-restricted technical data, or any materials subject to federal acquisition restrictions. BidSieve is not designed for handling controlled or classified content.

You are solely responsible for ensuring your internal use of BidSieve complies with your organization's procurement, ethics, and compliance policies.

16. Fair Use and Capacity Limits

We may apply reasonable usage thresholds to ensure stable performance across all users. Excessive or abnormal usage patterns may result in temporary throttling. Users on unlimited plans are still subject to fair use guidelines to ensure equitable access for all customers.

17. No Guarantee of Award Interpretation

BidSieve does not interpret responsiveness requirements, mandatory eligibility criteria, or compliance rules. You are responsible for confirming whether you qualify for any given opportunity. Match scores and AI recommendations do not constitute eligibility determinations.

18. Modification to Features

We may modify, update, or discontinue features at any time, with or without notice, including AI models, scoring algorithms, pipelines, data sources, and user interface elements. We are not obligated to maintain any specific feature or functionality.

19. Third-Party Vendor Terms

Use of BidSieve may require acceptance of additional third-party terms, including but not limited to OpenAI, Stripe, or state-level procurement data providers. We are not responsible for changes, outages, or limitations imposed by third-party vendors.
